Ambrook Referral Program Agreement

This Referral Program Agreement (“Referral Program Agreement”) is made between any person or entity acting as a referrer, otherwise participating in, the Ambrook Referral Program (“you” or “your”) and Ambrook Inc. (“Ambrook”, “we”, “our”, or “us”) and governs your participation in the Ambrook Referral Program (the “Referral Program”). By participating in the Ambrook Referral Program, you acknowledge that you have read, understood, and agree to be bound by this Referral Program Agreement.

To be eligible to participate in the Ambrook Referral Program, you must:

• Be a Customer (as defined below) in good standing; and
• Be at least 18 years of age.

“Customer” as used in this Referral Program Agreement means an active and current customer of Ambrook who has entered into a binding agreement with Ambrook for Ambrook’s products or services.

A “Qualifying Referral” means a referral that meets all of the following conditions:

• The referred customer is not and has not previously been registered with Ambrook under any email address or alias;
• The referred customer completes the registration process using your unique referral link or code;
• The referred customer is approved for an Ambrook account, subject to our approval policies and processes; and
• The referred customer signs up for an eligible Ambrook subscription plan (such eligibility may be updated by Ambrook from time to time).

3.1 Wallet Reward for Referrer

Upon a Qualifying Referral, you (the referrer) will receive a wallet reward deposited into your Ambrook Wallet. The reward amount will be specified in the referral promotion. The timing of the reward payout is at Ambrook's sole discretion and may occur at any point after the referred customer successfully signs up and meets any additional criteria we may set.

3.2 Wallet Reward for Referred Customer

The referred customer will receive their reward in the form of an Ambrook Wallet statement credit at the end of their first month of subscription. The reward amount will be specified in the referral promotion.

If the referred customer signs up for a subscription tier with a value lower than the referral reward amount, they will receive a monthly credit equal to their subscription fee. Such credit will continue each month until the total referral reward amount has been dispersed.

3.3 Subscription Credit

In some cases, the referral reward may be offered as a subscription credit. This means that the reward will be equal to one month's subscription fee, deposited into the recipient's Ambrook Wallet.

Referrer rewards will be deposited into the referrer's Ambrook Wallet at Ambrook's discretion upon confirmation of a Qualifying Referral and any additional criteria we may set. Referred customer rewards will be applied as a statement credit to their Ambrook Wallet at the end of their first subscription month. Please allow up to 30 days for rewards to be processed and applied.

All of the following restrictions apply:

• You may not use paid advertisements or marketing campaigns to promote your referral link or code;
• You may not create multiple Ambrook accounts to take advantage of the Referral Program;
• Ambrook reserves the right to modify, suspend, or terminate the Referral Program at any time without notice;
• Ambrook may disqualify any referral or participant from the Referral Program at its sole discretion; and
• You represent and warrant that you will not misrepresent Ambrook or its offerings in any manner.

No intellectual property rights are transferred or licensed under this Referral Program Agreement. You acknowledge and agree that all intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, and any other forms of intellectual property rights, in connection with the Ambrook Referral Program (or any other Ambrook products or services) and all materials related thereto, are and shall remain the sole property of Ambrook. Nothing in this Referral Program Agreement shall be construed to grant, by implication, estoppel, or otherwise, any license or right to use any of Ambrook's intellectual property rights, without the express written consent of Ambrook.

You are responsible for any federal, state, or local taxes resulting from the rewards received through the Referral Program.

Ambrook reserves the right to modify this Referral Program Agreement at any time. Continued participation in the Referral Program after such changes constitutes acceptance of the modified Referral Program Agreement.

Ambrook may terminate your participation in the Referral Program at any time, for any reason, with written notice to Ambrook.

This Referral Program Agreement constitutes the entire understanding between you and Ambrook with respect to the Referral Program. No other agreements, representations, or warranties with Respect to the Referral Program other than those provided in this Referral Program Agreement will be binding unless in writing and signed by you and Ambrook. For the avoidance of doubt, this Referral Program Agreements does not replace, and acts in addition to, any customer agreement you have entered into with Ambrook.
